Why register the firm?

Under the Indian Partnership Act, 1932, an unregistered firm and its partners cannot file a suit in court to enforce rights under a contract against third parties or against each other. Registration also makes it easier to open bank accounts and take loans in the firm's name.

What the deed should cover

Firm name and business, place of business, names and addresses of the partners, capital contributed by each, profit and loss sharing ratio, interest on capital and remuneration to working partners, and the rules for admission, retirement and dissolution. Interest and remuneration to partners are allowed as income tax deductions only within limits and when the deed provides for them.

Stamp paper

The deed is printed on non-judicial stamp paper of the value applicable in Tamil Nadu, which depends on the capital, and signed by all partners in front of witnesses. We will confirm the current stamp value when we prepare the deed.

Choosing the name

Avoid names that are the same as or similar to an existing firm in the area, and words such as Crown, Emperor, Government or Municipal, which need special approval.

Firm or LLP?

A partnership firm is simpler and cheaper to set up, but the partners' liability is unlimited. An LLP limits each partner's liability and has its own legal identity, with more annual filings. See our company and LLP registration checklist.

This is a general checklist; the documents you need depend on your situation, and we will confirm them with you. Please bring documents to your appointment or share them in the way we agree with you, and do not send them through the website forms.
