Financial statements (AOC-4) and annual return (MGT-7 or MGT-7A) for companies, and Form 8 and Form 11 for LLPs.
Changes in directors, registered office, share capital, allotment of shares and registration of charges.
Maintenance of statutory registers and minutes of board and general meetings.
Conversion of a partnership into an LLP or company, and closure (strike-off) of inactive companies.
Reporting of foreign investment and annual returns required under the Foreign Exchange Management Act.
The exact list depends on your situation. We will confirm what is needed when you contact us. Please do not send documents through the website forms.
Once all documents are ready, registration usually takes about 7 to 15 working days, depending on name approval and processing by the Ministry of Corporate Affairs.
A private limited company needs at least two directors, at least one of whom is resident in India, and at least two shareholders (the same people can be both). There is no minimum paid-up capital requirement.
These include holding board meetings during the year, holding the annual general meeting, getting the accounts audited, and filing the financial statements (AOC-4) and annual return (MGT-7 or MGT-7A) with the Registrar of Companies within the prescribed time. Directors must also complete their KYC with the MCA as required.
A private limited company is usually preferred if you plan to raise equity investment or grow significantly. An LLP has fewer compliance requirements and suits professional firms and smaller businesses. The right choice depends on your plans, and we can talk you through it.
Late filing attracts additional fees for each day of delay, and continued non-filing can lead to the company being struck off and its directors being disqualified. If filings are pending, contact us and we will help you bring them up to date.
